Citeeshirts.com Terms of Use

 

1. Your acceptance 

Entreprise Citee provides its website and related services ("Site") to you subject to the following User Agreement ("Agreement"), which may be updated from time to time without prior notice to you. Your continued use of the Entreprise Citee Site after any such changes constitutes your acceptance of the new terms. If you have any questions about the Agreement, you may contact us at info@citeeshirts.com.

BY CONTINUING TO USE THE SITE, YOU ARE INDICATING YOUR AGREEMENT TO BE BOUND BY THE TERMS OF THIS AGREEMENT AND ALL REVISIONS THEREOF.

2. Website access

Entreprise Citee hereby grants you permission to use the Website as set forth in these Terms of Use, provided that: (i) you will not copy or distribute any part of the Website in any medium without Entreprise Citee prior written authorization; (ii) you will not alter or modify any part of the Website other than as may be reasonably necessary to use the Website for its intended purpose; and (iii) you will otherwise comply with the terms and conditions of these Terms of Use. 

In order to access some features of the Website, you will have to create an account. You are not allowed to use another user’s account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You may change your password at any time by updating your Account Profile page. In addition, you agree to immediately notify Entreprise Citee of any unauthorized use of your password or account or any other breach of security. Entreprise Citee cannot and will not be liable for any loss or damage arising from your failure to comply with this Section 2. 

By registering with Entreprise Citee on Citeeshirts.com, you represent that you are of legal age to form a binding contract and are not a person barred by any laws from using the Citeeshirts.com Website. You agree to provide true, accurate, current and complete information about yourself in all required fields of the registration form. If any of your information changes, you agree to update your registration information as soon as possible. If Entreprise Citee suspects that your registration information is not complete, current, or accurate, or that you have otherwise violated these Terms of Use, your account may be subject to suspension or termination, and you may be barred from using the Citeeshirts.com Website. 

You agree not to use or launch any automated system, including without limitation, "robots," "spiders," or similar technological devices or programs, that access the Website in a manner that sends more request messages to the Citeeshirts.com servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. Notwithstanding the foregoing, Entreprise Citee grants the operators of public search engines permission to use spiders to copy materials from the Website for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials. Entreprise Citee reserves the right to revoke these exceptions either generally or in specific cases, in its sole discretion. 

You agree not to collect or use any personally identifiable information ("Personal Information") including without limitation account names, email addresses, or other User Submissions (as defined below), from the Website, nor use the communication systems provided by the Website for any commercial solicitation purposes, including without limitation to solicit, for commercial purposes, any users of the Website. 

3. The Citeeshirts.com Website

These Terms of Use apply to all users of the Website, including users who contribute information, ideas, and other materials or services on the Website. The Website may contain links to third party websites that are not owned or controlled by Entreprise Citee. Entreprise Citee has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. By using the Website, you specifically release Entreprise Citee from any and all liability arising from your use of any third-party website. 

4. Intellectual Property Rights

 

The content on the Website, except all User Submissions (as defined below), including without limitation, the text, graphics, and photos created by and for Entreprise Citee, interactive features ("Content") and the trademarks[VL1] , service marks and logos contained therein ("Marks"), are owned by or licensed to Entreprise Citee, subject to copyright and other intellectual property rights under Canadian and foreign laws and international conventions. Content on the Website is provided to you AS IS [VL2] for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any purpose whatsoever without the prior written consent of Entreprise Citee or as expressly provided herein. Entreprise Citee reserves all rights not expressly granted in and to the Website and the Content contained therein. 


You agree to not engage in the use, copying, or distribution of any of the Content other than expressly permitted herein, including any use, copying, or distribution of User Submissions (as defined below) of third parties obtained through the Website for any commercial purposes. If you download or print a copy of the Content for personal use, you must retain all copyright and other proprietary notices contained thereon. You agree not to circumvent, disable or otherwise interfere with security related features of the Website or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Website or the Content therein. 

 

5. User Submissions

 

The interactive nature of postings on Citeeshirts.com makes it impossible for us to assume responsibility for any of the materials posted by users. The ideas, suggestions, opinions, comments, and observations made by Citeeshirts.com users, and any text, data, photographs, video, music, sound, chat, messages, files or other material provided to us by users (all of which are referred to as "User Submissions") are not endorsed by Citeeshirts.com, and we make no guarantee regarding the reliability, accuracy, or quality of any User Submission that is posted on the Website. You acknowledge that you will evaluate and bear any risks related to your use of any User Submission, including any reliance on the accuracy, completeness, or usefulness of such User Submission. All User Submissions posted to the Website are the sole responsibility of the person who originally posted the User Submission, and your sole recourse for any damage you may suffer as a result of User Submissions shall be to such individual. 


You shall be solely responsible for your own User Submission and the consequences of posting or publishing them. You retain all of your ownership rights in your User Submissions. However, by submitting the User Submissions to Citeeshirts.com, you hereby grant Entreprise Citee a worldwide, non-exclusive, royalty-free, sublicenseable[VL3] , and transferable right and license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the Website and Entreprise Citee (and its successors) business, including without limitation for promoting and redistributing part or all of the Website (and derivative works thereof) in any media now known or hereafter developed. The foregoing license granted by you terminates once you remove or delete a User Submission from the Website. 


If you choose to post User Submissions on Entreprise Citee Web pages, we require that you adhere to generally accepted rules of etiquette and standards of behaviour, and that your use of Citeeshirts.com reflects your respect for the legal rights of users connected with Entreprise Citee. You understand that Entreprise Citee does not guarantee any confidentiality with respect to any User Submission.

 
Entreprise Citee expressly disclaims any and all liability in connection with User Submissions. Entreprise Citee reserves the right to remove Content and User Submissions in its sole discretion and without prior notice. Entreprise Citee also reserves the right to terminate a user's access to the Website at any time in its sole discretion and without prior notice. 

 

6. Rules of Conduct

 

The following rules of conduct apply to your use of the Website and to any and all materials you post on Citeeshirts.com, including text, data, graphics, audio or video content, music, sound, chat, messages, files or other material (collectively User Submissions) whether the User Submission is included in blogs, discussion groups, emails, profiles, comments, or any other portion or feature of Citeeshirts.com. 



You may not, in connection with the Website:

  • Upload, post, email or otherwise transmit any User Submission that is libelous or defamatory, pornographic, sexually explicit, unlawful or plagiarized;
  • infringes or violates any patent, copyright, trademark, trade secret or other property right;
  • breaches a duty of confidentiality by which you are bound due to a contractual or fiduciary relationship (such as inside information, or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
  • a reasonable person would consider harassing, abusive, threatening, harmful, vulgar, profane, obscene, excessively violent, racially, ethnically or otherwise objectionable or offensive in any way;
  • constitutes a breach of any person’s privacy or publicity rights, a misrepresentation of facts, or hate speech;
  • violates or encourages others to violate any applicable law, statute, ordinance or regulation;
  • promotes software or services that deliver unsolicited e-mail; or
  • contains viruses, Trojan horses, worms, time bombs, cancelbots or other similar harmful programming routines.

You may not, except with Entreprise Citee express advance authorization or in a specially designated area, use the Website to:

  • Upload, post, email or otherwise transmit any User Submission that provides any telephone numbers, street addresses, last names, URLs or email address; or
  • engage in commercial activities within Citeeshirts.com;
  • harm minors in any way;
  • solicit personal information from anyone under 18;
  • provide false or deceptive information;
  • use Entreprise Citee content to engage in commercial activities;
  • delete, add or otherwise change other people’s entries or other Content when you have not been granted the privileges to do so; or
  • allow usage by others in such a way as to violate Entreprise Citee Terms of Use.
  • Access, tamper with or use non-public areas of the Site. Unauthorized individuals attempting to access these areas of the Site may be subject to prosecution;

You acknowledge and agree that Entreprise Citee may preserve Content and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to:

  • Comply with legal process
  • Enforce the Agreement
  • Respond to claims that any Content violates the rights of third-parties
  • Protect the rights, property, or personal safety of Entreprise Citee, its users and the public.

 

7. Copyright Infringement

Entreprise Citee respects the intellectual property rights of others. We ask our users to do the same. Entreprise Citee may terminate the accounts of users who appear to infringe the copyright or other intellectual property rights of others.

If you believe that your Content has been copied in a way that constitutes copyright and/or trademark infringement, please notify Entreprise Citee’s Copyright Agent, and provide the following information:

  • An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright/trademark interest
  • A description of the copyrighted work and/or trademark claimed to have been infringed
  • A description of where the claimed infringing Content is located on our Site
  • Your address, telephone number, and email address
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright/trademark owner, its agent, or the law
  • A statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are authorized to act on behalf of the owner of the copyright/trademark interest involved.
  • Orders that cannot be printed due to copyright infringement or failure to adhere to our conditions
  • Designs for which a complaint is filed will be removed from the website until the dispute is resolved.

8. Modifications to the Website

Entreprise Citee reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Website (www.Citeeshirts.com) (or any part thereof) with or without notice. Entreprise Citee shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Website. 

9. Termination

Entreprise Citee may, under certain circumstances and without prior notice, immediately terminate your Citeeshirts.com account and access to the Website and any other Entreprise Citee services. Cause for such termination shall include, but not be limited to: (a) breaches or violations of the Terms of Use other incorporated agreements or guidelines; (b) requests by law enforcement or other government agencies; (c) a request by you (self-initiated account deletions); (d) discontinuance or material modification to the Website (or any part thereof); (e) unexpected technical or security issues or problems; (f) extended periods of inactivity; (g) engagement by you in fraudulent or illegal activities; and/or (h) nonpayment of any fees owed by you in connection with the Website or any other Entreprise Citee product. Termination of your Citeeshirts.com account includes: (a) removal of access to all pages within the Website; (b) deletion of your password and all related information, files and materials, including User Submissions associated with or inside your account (or any part thereof); and (c) barring of further use of the Website. Further, you agree that all terminations for cause shall be made in Entreprise Citee’s sole discretion and that Entreprise Citee shall not be liable to you or any third party for any termination of your account, any associated email address, or access to the Website. 

 

10. WARRANTY OF OWNERSHIP AND NON-INFRINGEMENT 

YOU REPRESENT AND WARRANT THAT YOU ARE THE OWNER OF THE CONTENT WHICH YOU SUBMIT AND THAT THE CONTENT DOES NOT INFRINGE UPON THE PROPERTY RIGHTS, INTELLECTUAL PROPERTY RIGHTS (COPYRIGHTS AND TRADEMARKS) OR OTHER RIGHTS OF OTHERS. YOU ALSO REPRESENT THAT THERE ARE NO OUTSTANDING DISPUTES IN CONNECTION WITH THE PROPERTY RIGHTS, INTELLECTUAL PROPERTY RIGHTS OR OTHER RIGHTS IN THE CONTENT OR ANY PARTS OF THE CONTENT.

11. INDEMNITY

You agree to defend, indemnify and hold Entreprise Citee and Entreprise citee's officers, directors, employees, agents, licensors and any affiliates harmless from all judgments, awards, losses, liabilities, costs and expenses, including but not limited to reasonable attorney's fees, expert witness fees, and costs of litigation arising out of or based on:

  • Content you submit, post to or transmit through the Site
  • Your use of the Site
  • Your connection to the Site
  • Your violation of the Agreement
  • Your violation of any rights of a third party.

12. No Resale

You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Site, use of the Site or access to the Site without Entreprise Citee's express written consent.

13. Links

 The Site may provide, or third parties may provide, links to other websites or resources. Because Entreprise Citee has no control of such sites and resources, you acknowledge and agree that Entreprise Citee is not responsible for the availability of such sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources.

You further acknowledge and agree that Citee Entreprise shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

14. Public Reputation

You acknowledge and agree that you will not use any product ordered from Citeeshirts.com, including without limitation any stamp, in a way that would be damaging to Entreprise Citee's public reputation or that of its employees, board members, shareholders, licensors, or solution partners.

Additionally, you acknowledge that if you choose to display any product ordered from Entreprise Citee, including without limitation any stamp, in a public setting, including on the Internet, in a way which disparages Entreprise Citee, Entreprise Citee's, employees, shareholders or partners, or the Canadian Postal Service (Canada Post), Entreprise Citee reserves the right to demand immediate return of the product, to furthermore pursue all recourses and remedies available under the law, and Entreprise Citee's sole and exclusive obligation and your sole and exclusive remedy shall be a full refund of all fees paid by you.

 

15. Pricing

Prices for products on Citeeshirts.com are on our website and are incorporated into this Agreement by reference. Prices and products may change at Entreprise Citee’s discretion.

 

16. Age and Geographic Restrictions

You must be at least 13 years of age to use Citeeshirts.com. If you have any concerns or questions about this restriction please contact us at info@citeeshirts.com.

 

17. Shipping

Title and risk of loss for all products ordered by you shall pass to you on Entreprise Citee’s shipment to the shipping carrier.

Please note:

Entreprise Citee does its best to ensure your delivery arrives on time. However, delivery dates are not guaranteed and your order may arrive after the estimated arrival date for various reasons, including unforeseen delays, such as:

  • Order contains items which take longer to process (3 prints or more per shirt)
  • Large orders that have more than 50 items may require longer processing time
  • Delivery is to a P.O. Box or APO/FPO address
  • Delays due to problems with credit card authorization and verification
  • Problems with uploaded designs that do not meet our recommended requirements encountered during processing of your order
  • Items will be shipped only once the full payment has been received

If the order does not arrive on time because of something we did wrong, you will be refunded.

18. Cancelations

Once your order has been placed, our goal is to get it processed as fast as possible. If you need to cancel your purchase, give us a call or send us an email within 24 hours and we will see what we can do! In the event of a cancellation, your money will be credited as a Citeeshirts.com coupon code.

19. Refunds

Upon receiving a refund request, Entreprise Citee will always do its best to solve the problem at hand. Any refunds will be issued in the form of a credit for use in the store.

Our customer service team does its best to contact clients’ whose orders are incomplete. We print what you send us! Please note that we do not satisfy refunds for orders submitted with low quality image(s) and shipping information errors. We will be happy to help by offering an alternative solution. 

Orders that cannot be printed due to copyright infringement or failure to adhere to our conditions will not be refunded. A full credit will be made towards another order.

 

Please note: credits are given as coupon codes. Only one coupon code can be used on any Citeeshirts.com order. 

Please note: if your order is back-ordered, we can't refund you. You'll be able to place another order instead.

 

19. Product Returns

Every product ordered on Citeeshirts.com is created just for you. 

Because they are custom made, returned goods cannot be resold.

All Entreprise Citee products are thoroughly tested to ensure superior quality. If unexpected errors occur, notify us within 7 days of receipt of your product and we will take the steps necessary to evaluate the problem. 

Our promise: If we make a mistake, we will send you a replacement or give you a credit. If you make a mistake, we will see what we can do to satisfy your purchase! Simply contact us at info@citeeshirts.com.

 

20. Disclaimer of Warranties

YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE SITE IS AT YOUR SOLE RISK. THIS SITE AND THE INFORMATION, SERVICES, PRODUCTS, AND MATERIALS AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, Entreprise Citee AND ITS AFFILIATES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF TITLE, OR IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Entreprise Citee DOES NOT MAKE ANY WARRANTY THAT (A) THE SITE OR ITS CONTENT WILL MEET YOUR REQUIREMENTS, OR (B) THAT THE SITE OR SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE, OR (C) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SITE WILL MEET YOUR EXPECTATIONS, OR (D) THAT DEFECTS, IF ANY, WILL BE CORRECTED. YOU AGREE THAT Entreprise Citee SHALL HAVE NO RESPONSIBILITY FOR ANY DAMAGES SUFFERED BY YOU IN CONNECTION WITH THE SITE OR ANY CONTENT CONTAINED THEREIN INCLUDING BUT NOT LIMITED TO LOSS OF DATA FROM DELAYS, NONDELIVERIES OF CONTENT OR EMAIL, ERRORS, SYSTEM DOWN TIME, MISDELIVERIES OF CONTENT OR EMAIL, NETWORK OR SYSTEM OUTAGES, FILE CORRUPTION, OR SERVICE INTERRUPTIONS CAUSED BY THE NEGLIGENCE OF Entreprise Citee, ITS AFFILIATES, ITS LICENSORS, OR A USER'S OWN ERRORS AND/OR OMISSIONS.

YOU EXPRESSLY AGREE THAT USE OF THIS SERVICE, INCLUDING ALL CONTENT, DATA OR SOFTWARE DISTRIBUTED BY, DOWNLOADED OR ACCESSED FROM OR THROUGH THIS SITE, IS AT YOUR SOLE RISK. YOU UNDERSTAND AND AGREE THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR BUSINESS, YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH CONTENT, DATA AND/OR SOFTWARE.

YOU ACKNOWLEDGE THAT Entreprise Citee DOES NOT CONTROL IN ANY RESPECT ANY INFORMATION, PRODUCTS, OR SERVICES OFFERED BY THIRD PARTIES ON OR THROUGH THIS SERVICE. EXCEPT AS OTHERWISE AGREED IN WRITING, Entreprise Citee AND ITS AFFILIATES ASSUME NO RESPONSIBILITY FOR AND MAKE NO WARRANTY OR REPRESENTATION AS TO THE ACCURACY, CURRENCY, COMPLETENESS, RELIABILITY OR USEFULNESS OF CONTENT OR PRODUCTS DISTRIBUTED OR MADE AVAILABLE BY THIRD PARTIES THROUGH THIS SITE.

YOU ACKNOWLEDGE THAT Entreprise Citee MAKES NO WARRANTY OR REPRESENTATION THAT CONFIDENTIALITY OF INFORMATION TRANSMITTED THROUGH THIS SITE WILL BE MAINTAINED.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM Entreprise Citee OR THROUGH OR FROM THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE AGREEMENT.

21. Limitation of liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT UNDER NO CIRCUMSTANCES INCLUDING, WITHOUT LIMITATION, ITS OWN NEGLIGENCE, SHALL Entreprise Citee OR ITS PARENTS, SUBSIDIARIES, OFFICERS, EMPLOYEES, AFFILIATES, DIRECTORS, AGENTS, SUPPLIERS, OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, TRANSMITTING, OR DISTRIBUTING Entreprise Citee OR RELATED SERVICES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF Entreprise Citee HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (A) THE USE OR INABILITY TO USE THE SITE; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SITE; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SITE OR (E) ANY OTHER MATTER RELATING TO THE SITE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

22. Severability

If any provision of this Agreement is invalid, illegal or unenforceable under any applicable statute or rule of law, such provision shall be deemed amended to achieve as nearly as possible the same economic effect as the original provision and the remaining provisions of this Agreement shall in no way be affected or impaired.

23. General

These terms and conditions shall be governed by and construed in accordance with the laws of the province of Quebec, Canada, without resort to its conflict of law provisions. Any dispute with regard to this Agreement shall be submitted to one arbitrator for arbitration in Montreal, Quebec in accordance with the Commercial Arbitration Rules of Quebec then in effect.

The award rendered by the arbitrator shall be binding as between the parties and judgment on such award shall be entered in any court having jurisdiction thereof. The Arbitrator may award attorney's fees and costs to the prevailing party. No agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship is intended or created by this Agreement. Entreprise Citee may assign its rights and responsibilities hereunder without notice to you.

The failure of a party to exercise or enforce any right or provision of this Agreement will not constitute a waiver of the right or provision. Entreprise Citee's failure to act with respect to a breach by you or others does not waive Entreprise Citee's right to act with respect to subsequent or similar breaches.

This Agreement constitutes the entire agreement between you and Entreprise Citee, and supercedes all other communications, written or oral, with regard to the services provided by Entreprise Citee (Citeeshirts.com).
